Techno Group Master Terms & Conditions

Effective Date: January 1, 2026

These Terms supersede all prior Terms & Conditions, policies, warranties, operational procedures, quotations, disclaimers, and commercial terms previously issued by Techno Group unless otherwise expressly agreed in writing.

PART A — DEFINITIONS

A1. “Products”

  • Accessories
  • Hoses
  • Fittings
  • Pumps
  • Custom fabricated products
  • Packaging
  • Components
  • Any related equipment supplied by Techno Group.

A2. “Services”

Includes, without limitation:

  • Flexitank installations
  • Technical assistance
  • Training
  • Surveys
  • Incident investigations
  • Cargo inspections
  • Transloading
  • Cross-pumping
  • Heating operations
  • Logistics coordination
  • Trucking coordination
  • Project management
  • Consulting
  • Operational support
  • Freight coordination
  • Any field or operational work.

A3. “Manufacturer” or “Factory”

Refers exclusively to the independent third-party manufacturing entity responsible for the physical production of certain Products. References to “Manufacturer” or “Factory” do not imply that Techno Group is the physical manufacturer of the Product unless expressly stated in writing.

A4. “Carrier”

Includes any trucking company, freight broker, motor carrier, drayage provider, ocean carrier, rail carrier, logistics provider, freight forwarder, warehouse operator, or transportation-related third party.

A5. “Cargo”

Means any liquid, fuel, oil, chemical, food-grade product, industrial material, or other substance loaded, stored, transported, heated, discharged, or handled using the Products.

PART B — WEBSITE, DIGITAL, AND INTELLECTUAL PROPERTY TERMS

B1. CHANGES TO TERMS

Techno Group reserves the right to modify, revise, supplement, update, or replace these Terms at any time without prior notice. Any revised version shall become effective immediately upon posting on the Company website or upon written notice to Customer.

Customer’s continued use of the website, Products, or Services following any revision constitutes acceptance of the updated Terms.

B2. USE OF THE SITE

The Company website and all related content are intended solely for lawful commercial and informational purposes.

Customer agrees not to:

misuse the website, interfere with website functionality, attempt unauthorized access, upload malicious code, scrape or extract data, use bots or automated tools, reproduce content without authorization, or use the website in violation of any law.

Techno Group reserves the right to suspend or terminate website access at its sole discretion.

B3. ELECTRONIC COMMUNICATIONS

Customer agrees that Techno Group may communicate electronically through:

email, SMS, website notifications, quotations, invoices, operational notices, shipping updates, technical documentation, and other electronic means.

Electronic communications shall satisfy any legal communication requirement.

B4. PRIVACY POLICY

Customer information collected through the website, quotations, orders, projects, and communications may be used for operational, commercial, administrative, legal, marketing, logistics, and customer service purposes.

Customer acknowledges and agrees that information may be stored, processed, and transferred within the United States.

B5. SECURITY

Techno Group uses commercially reasonable efforts to maintain website and information security. However, Techno Group does not guarantee uninterrupted, secure, or error-free operation of the website or electronic systems.

Customer acknowledges that electronic communications and internet transmissions involve inherent security risks.

B6. CONTENT AND INTELLECTUAL PROPERTY

All website content, including but not limited to:

manuals, technical documents, drawings, renderings, graphics, dimensions, photographs, specifications, videos, text, logos, branding, installation procedures, operational guides, software, and related materials are owned by or licensed to Techno Group and are protected by intellectual property laws.

No content may be copied, reproduced, modified, distributed, published, transmitted, displayed, reverse engineered, or commercially exploited without prior written authorization.

B7. PRODUCT INFORMATION AND PRICING

Product dimensions, specifications, weights, photographs, renderings, drawings, descriptions, colors, tolerances, and operational data are approximate and may vary.

Techno Group reserves the right to:

modify specifications, change pricing, discontinue products, refuse orders, limit quantities, and correct errors at any time.

Pricing errors, typographical mistakes, calculation errors, or system errors shall not be binding.

B8. COMPARISON BUYING

Comparison buying is prohibited.

Products purchased with the intent to evaluate multiple units while returning unwanted items may be refused return eligibility and may incur additional fees.

B9. OFFENDER POLICY AND DMCA

Techno Group reserves the right to terminate access or accounts associated with intellectual property infringement, abuse, unauthorized copying, website misuse, or repeated violations of these Terms.

B10. THIRD-PARTY CONTENT

Techno Group may reference or link to third-party websites, videos, manuals, operational materials, or external content.

Techno Group does not control and is not responsible for:

third-party accuracy, availability, legality, operational suitability, or content reliability.

Use of third-party content is at Customer’s own risk.

B11. LINKS TO THE SITE

No party may frame, mirror, scrape, or commercially exploit the Company website or content without prior written authorization.

Unauthorized use of Company trademarks, logos, brand names, or metadata is prohibited.

B12. SUBMISSIONS

Any comments, ideas, suggestions, proposals, technical feedback, operational recommendations, drawings, specifications, or submissions provided to Techno Group shall become non-confidential and may be used by Techno Group without restriction or compensation unless otherwise agreed in writing.

B13. PRODUCT REVIEWS AND USER CONTENT

Customer is solely responsible for any reviews, comments, uploads, communications, or other content submitted through the website or Company systems.

Techno Group reserves the right to remove any content deemed inappropriate, misleading, unlawful, defamatory, abusive, infringing, or commercially harmful.

B14. TRADEMARKS

All Techno Group, Techno Tanks, and related names, logos, branding, graphics, packaging, and marks are proprietary trademarks or trade dress of Techno Group.

Unauthorized use is prohibited.

B15. COPYRIGHTS

All website materials, manuals, guides, photographs, renderings, documents, and technical content are protected by copyright laws.

Unauthorized reproduction or distribution is prohibited.

B16. UNITED STATES ONLY

The website and Services are operated from the United States.

Customer agrees that all disputes, data processing, website access, and commercial activities shall be governed by United States and Florida law regardless of Customer location.

Customer is solely responsible for compliance with local laws in its jurisdiction.

B17. CLASS ACTION WAIVER

Customer agrees that any claim or dispute shall be brought solely in Customer’s individual capacity and not as part of any class action, representative action, consolidated action, or collective proceeding.

PART C — COMMERCIAL SALES AND CUSTOMER TERMS

C1. CUSTOMER OBLIGATIONS

Customer shall:

provide accurate information, maintain updated contact information, cooperate with operational requirements, comply with laws and regulations, ensure qualified personnel, ensure site readiness, timely unload shipments, preserve evidence when claims arise, and comply with all Company procedures.

Customer shall remain fully responsible for all operational decisions and cargo-related activities.

C2. COLLECTIONS PROCESS

If invoices remain unpaid, Techno Group may:

suspend services, place accounts on hold, refuse future orders, charge approved payment methods, transfer accounts to collections, pursue legal action, and recover attorney fees and collection expenses.

Customer shall remain responsible for all costs associated with recovery efforts.

PART D — PRODUCT, OPERATIONAL, AND SERVICE TERMS

D1. CUSTOMER RESPONSIBILITY AND PRODUCT SUITABILITY

D1.1 Customer Responsibility

Customer is solely responsible for determining whether any Product or Service is suitable for its intended application, cargo, transport route, environmental conditions, loading procedures, discharge procedures, storage conditions, vessel configuration, container condition, heating requirements, operational procedures, and regulatory requirements.

Any recommendation, statement, guidance, technical information, compatibility discussion, operational suggestion, drawing, or communication provided by Techno Group shall be considered informational only and shall not constitute engineering certification, cargo approval, operational supervision, or a guarantee of suitability.

D1.2 Cargo Representation

Customer represents and warrants that all cargo information supplied to Techno Group is accurate, complete, current, and not misleading, including but not limited to:

  • SDS/MSDS documentation
  • Flashpoint
  • Density
  • Viscosity
  • Temperature requirements
  • Hazard classification
  • Chemical composition
  • Additives
  • Blend ratios
  • Product origin
  • Packaging characteristics
  • Heating requirements
  • Transport requirements

Any change in cargo composition, supplier, additive package, concentration, formulation, blend ratio, or operational characteristics must be separately disclosed and reviewed prior to use.

Customer assumes all liability arising from inaccurate, incomplete, outdated, misleading, or undisclosed cargo information.

D1.3 Customer Duty to Review Documentation

Customer acknowledges and agrees that:

Installation manuals, Operating procedures, Safety documentation, Technical instructions, Checklists, Product specifications, Website guidance, Training materials, Warnings, Maintenance procedures, Cargo limitations, Heating instructions, Discharge procedures, have been made available physically, electronically, through the Company website, upon request, or through other reasonable means.

Customer is solely responsible for ensuring that all personnel involved in installation, loading, transport, heating, discharge, handling, storage, or operation review and understand all applicable documentation prior to use.

Failure to read, request, understand, follow, or implement such documentation shall not create liability for Techno Group.

D1.4 Training

Training and technical support may be available upon request.

Customer is solely responsible for ensuring that all personnel involved in the use, installation, handling, heating, discharge, transport, or operation of Products are properly trained, qualified, and competent.

Failure to request available training or technical guidance shall not relieve Customer of responsibility.

D2. FLEXITANK TERMS AND CONDITIONS

D2.1 Inspection Prior to Installation

Customer must inspect all flexitanks, fittings, valves, bulkheads, accessories, heating systems, and related components prior to installation and prior to loading.

Any visible issue, irregularity, damage, defect, contamination, or concern must be reported immediately and prior to installation or use.

Installation, loading, or use of the Product constitutes acceptance of the Product.

D2.2 Transit Time Limitation

Flexitanks shall not be used for shipments exceeding sixty (60) days in transit unless otherwise approved in writing.

For purposes of this limitation, transit time includes the entire period beginning upon completion of loading and ending upon final discharge of the cargo, including any storage, port dwell time, customs delays, transshipment, rail transfer, chassis storage, destination delay, or other delay whether or not caused by Techno Group.

D2.3 Operational Risks

Customer acknowledges that flexitank operations involve inherent operational risks including but not limited to:

Cargo leaks, Cargo contamination, Overpressure, Valve failures, Improper installation, Improper loading, Improper securing, Road vibration, Vessel movement, Heat exposure, Freezing, Cargo expansion, Steam misuse, Human error, Container defects, Handling damage, Improper discharge, Third-party operational negligence.

Customer assumes all risks associated with such operations.

D2.4 Container Suitability

Customer is solely responsible for ensuring that all containers, trailers, chassis, vessels, loading sites, and discharge locations are structurally suitable and properly prepared.

Techno Group does not inspect or certify shipping containers or transportation equipment unless expressly agreed in writing.

D2.5 Heating Systems and Heat Pads

Customer acknowledges that heating systems and steam heat pads involve elevated operational risk.

Customer is solely responsible for:

Steam pressure regulation, Temperature monitoring, Condensation management, Hose connections, Safe operation, Operator supervision, Cargo compatibility, Proper discharge procedures.

Improper use of heating systems voids all warranties.

D2.6 Marine and Environmental Risks

Techno Group shall not be liable for:

Environmental contamination, Pollution events, Cleanup costs, Port authority claims, Government penalties, Vessel claims, Salvage costs, Maritime damages, Demurrage, Cargo disposal, Third-party contamination claims, Business interruption, Production losses, Consequential losses.

D3. FLEXITANK WARRANTY

D3.1 Limited Warranty

Flexitanks and heat pads are covered by a limited warranty against manufacturing defects in materials and workmanship under normal and approved use conditions.

The warranty period shall be one (1) year from the original purchase date unless otherwise stated in writing.

D3.2 Manufacturer Insurance Program

Certain flexitanks may be supported by a third-party manufacturer-backed insurance program with coverage limits up to USD $5,000,000 for approved claims involving verified manufacturing defects.

Any such insurance coverage:

is administered exclusively by the applicable insurer and/or manufacturer, is subject to investigation, is subject to policy limitations, exclusions, deductibles, procedures, and insurer approval, does not constitute a guarantee of payment, does not expand Techno Group’s liability, and does not create any direct insurance obligation by Techno Group.

Eligibility for any insurance-related claim may require:

compliance with installation procedures, approved cargo usage, approved transit conditions, complete documentation, preservation of evidence, timely reporting,

and cooperation with investigations.

D3.3 Warranty Exclusions

The warranty does not cover:

  • Improper installation
  • Misuse
  • Cargo incompatibility
  • Failure to follow instructions
  • Overfilling
  • Improper securing
  • Steam misuse
  • Container defects
  • Improper discharge
  • Operational negligence
  • Human error
  • Third-party handling damage
  • Excessive transit times
  • Improper storage
  • UV degradation
  • Punctures
  • Abrasion
  • Unauthorized modifications
  • Natural disasters
  • Force majeure events

D3.4 Warranty Remedy

Techno Group’s sole obligation under this warranty shall be limited, at its sole discretion, to:

repair, replacement, partial credit, or reasonable corrective action.

No warranty shall exceed the value of the specific affected Product.

D4. MARINE FUEL BLADDER WARRANTY

D4.1 Limited Marine Fuel Bladder Warranty

Marine fuel bladders, pillow tanks, and custom bladder systems are covered by a limited warranty against manufacturing defects in materials and workmanship under normal and approved use conditions.

Warranty duration may vary depending on:

material selection, custom specifications, intended application, fuel type, operating conditions, and environmental exposure.

Unless otherwise stated in writing, the standard warranty period for marine fuel bladders shall be two (2) years from the original purchase date.

D4.2 Marine Fuel Bladder Exclusions

The warranty does not cover:

Improper fuel compatibility, Ethanol-related degradation, Improper venting, UV exposure, Dragging, Punctures, Abrasion, Sharp object damage, Overfilling, Fuel contamination, Improper mounting, Vessel movement damage, Improper storage, Fire, Explosion, Negligence, Improper transfer operations, Improper fittings, Unauthorized modifications, Improper repairs.

D4.3 Customer Responsibility

Customer is solely responsible for ensuring:

proper fuel compatibility, proper vessel integration, safe fuel handling, compliance with maritime regulations, and proper operational procedures.

D5. INSTALLATION, TECHNICAL SERVICES, AND TRAINING DISCLAIMER

D5.1 Limited Scope of Services

Techno Group may provide installation assistance, technical support, operational guidance, training, or consulting services.

Techno Group does not control:

customer personnel, loading operations, discharge operations, container conditions, transportation conditions, carrier operations, site safety, steam operations, vessel conditions, or field operations performed by third parties.

D5.2 No Operational Control

Customer acknowledges that Techno Group does not supervise or control ongoing field operations once installation or service work is completed.

Customer retains sole responsibility for all operational decisions.

D5.3 Independent Contractor Status

Any third-party installer, contractor, labor provider, surveyor, or service provider engaged in connection with any project shall be considered an independent contractor.

Techno Group shall not be liable for acts, omissions, negligence, misconduct, delays, or operational failures of third parties.

D6. TRANSLOADING SERVICES DISCLAIMER

Techno Group’s responsibility during transloading operations is strictly limited to the physical transfer of product.

Techno Group does not:

certify cargo quality, verify cargo composition, guarantee cargo condition, guarantee contamination-free status, or assume responsibility for packaging, prior transportation conditions, or prior handling.

Customer assumes all responsibility for cargo condition before and after transloading.

D7. LOGISTICS COORDINATION, TRUCKING, AND TRANSPORTATION TERMS

D7.1 Logistics Coordination Only

Techno Group may arrange, coordinate, schedule, or facilitate transportation services through independent third-party Carriers.

Unless expressly agreed otherwise in writing, Techno Group is not acting as:

a motor carrier, common carrier, freight forwarder, NVOCC, warehouseman, or transportation insurer.

D7.2 Independent Carriers

All Carriers, brokers, drayage companies, trucking providers, and transportation vendors are independent third parties and are not employees or agents under the operational control of Techno Group.

D7.3 No Liability for Carrier Actions

Techno Group shall not be liable for:

delivery delays, missed appointments, detention, demurrage, chassis shortages, dry runs, layovers, driver negligence, route deviations, rollover incidents, cargo shifts, customs delays, port congestion, equipment failures, traffic, weather, overweight citations, rejected deliveries, terminal delays, rail delays, theft, governmental actions, or any Carrier-related operational issue.

D7.4 Accessorial Charges

Customer shall be solely responsible for all accessorial charges, including but not limited to:

detention, demurrage, chassis usage, chassis split, dry run charges, waiting time, layover, storage, scaling, tolls, permits, customs exams, cleaning, disposal, re-delivery, after-hours fees, port fees, transloading delays, rework, and any additional costs caused directly or indirectly by Customer, cargo conditions, operational delays, incomplete documentation, or third-party actions.

D8. CLAIMS PROCEDURE

D8.1 Immediate Notice Required

Any claim involving Products or Services must be reported immediately and no later than seventy-two (72) hours after discovery.

D8.2 Preservation of Evidence

Customer must preserve all evidence relevant to the claim, including:

the Product, valves, fittings, cargo samples, photographs, installation materials, shipping containers, loading records, discharge records, temperature logs, pressure records, transportation documents, and related evidence.

Failure to preserve evidence may void warranty consideration and related claims.

D8.3 Cooperation Requirement

Customer shall fully cooperate with all investigations.

Unauthorized disposal, destruction, modification, repair, or alteration of evidence may void any warranty or claim review.

D9. RETURNS, CANCELLATIONS, AND REFUNDS

D9.1 Final Sale Products and Services

Flexitanks, flexitank heating systems, heat pads, custom tanks, pillow tanks, bladder tanks, installations, transloading services, logistics services, operational services, cross-pumping, surveys, incident reports, causal reports, consulting services, and any other operational services are non-refundable and final sale unless otherwise agreed in writing.

D9.2 Approved Returns

Approved returns may be subject to:

inspection, restocking fees, return freight charges, handling fees, and condition verification.

Unused and undamaged marine fuel bladders may be eligible for return within thirty (30) days of sale if approved by Techno Group. Return shipping fees are Customer’s responsibility unless otherwise agreed in writing. Shipping charges are not refundable unless Techno Group elects otherwise in its sole discretion.

There are no returns or cancellations on custom-made items, final sale items, flexitanks, flexitank heating systems, pillow tanks, bladder tanks, or Products that have been used, installed, filled, modified, damaged, contaminated, or altered.

Restocking fees may be charged when merchandise is returned in an open box, damaged box, missing original packaging, missing instructions, missing accessories, or otherwise not returned in original condition. The restocking fee for approved marine bladder returns is USD $50 unless otherwise stated in writing.

D9.3 Project and Service Cancellations

If Customer cancels any project, service, installation, prototyping, custom manufacturing, transloading, or operational work, Customer shall remain responsible for:

all labor performed,

consulting time, materials, travel expenses, scheduling losses, operational costs, loss of work, and related expenditures.

Unless otherwise agreed in writing, consulting, project work, prototyping, custom manufacturing, installation, and transloading services may be billed at a reasonable market rate determined by Techno Group. The current hourly consulting rate is USD $150 per hour and may increase based on the scope of the project or service.

Upon cancellation, Techno Group may issue an invoice for all amounts owed, including hourly charges and expenses incurred. Customer shall pay such invoice within the agreed payment terms, or if no terms were specified, within thirty (30) days of invoice issuance.

D10. PAYMENT TERMS

Customer agrees to timely payment of all invoices according to the payment terms stated on the applicable quotation, invoice, service agreement, or written communication.

If no payment terms are specified, payment shall be due within thirty (30) days of invoice issuance.

Techno Group reserves the right to suspend services, place accounts on hold, refuse future orders, delay shipments, or withhold documents or deliverables if Customer has overdue balances.

D11. COLLECTIONS PROCESS AND UNPAID INVOICES

D11.1 Credit Card Authorization

If a credit card or other payment method is on file with Techno Group, Techno Group reserves the right to charge the payment method for unpaid invoice amounts if the invoice remains unpaid for thirty (30) days beyond the due date.

Prior to charging the payment method, Techno Group may send a notification email to Customer. Customer shall have five (5) business days from the date of notification to make payment through other means before the payment method is charged.

D11.2 Interest on Unpaid Invoices

Past due balances may accrue interest at a rate of two percent (2%) per month, equivalent to twenty-four percent (24%) annually, or the maximum amount permitted by applicable law, whichever is lower, beginning thirty (30) days after the due date.

Interest shall be calculated and added to the outstanding balance at the end of each month.

D11.3 Collections Process

If an invoice remains unpaid for ninety (90) days beyond the due date, Techno Group reserves the right to transfer the debt to a collections agency or pursue legal remedies.

Customer may receive a final notice before the debt is transferred to collections. Such notice may provide a ten (10) day period for Customer to settle the outstanding balance before the debt is sent to collections.

Customer shall be responsible for any additional fees, attorney fees, court costs, collection agency fees, and expenses associated with the collections process or enforcement of payment obligations.

D11.4 Customer Payment Obligations

Customer is responsible for timely payment of all invoices and for keeping credit card information, billing information, and contact details current and accurate.

Techno Group reserves the right to modify or update this collections policy at any time, subject to applicable law.

D12. FORCE MAJEURE

Techno Group shall not be liable for delays, failures, or inability to perform caused by events beyond its reasonable control, including but not limited to:

hurricanes, floods, war, terrorism, labor shortages, pandemics, port congestion, customs holds, carrier disruptions, government actions, power failures, equipment shortages, raw material shortages, strikes, embargoes, or acts of God.

PART E — LEGAL PROTECTIONS AND GENERAL PROVISIONS

E1. DISCLAIMER OF WARRANTIES

Except as expressly stated herein, all Products and Services are provided “AS IS” and “AS AVAILABLE.”

Techno Group disclaims all implied warranties including:

merchantability, fitness for a particular purpose, non-infringement, performance guarantees, uninterrupted operation, or suitability for any specific cargo or operational condition.

E2. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Techno Group shall not be liable for:

indirect damages, consequential damages, incidental damages, punitive damages, special damages, lost profits, cargo loss, environmental damages, contamination, cleanup costs, demurrage, detention, business interruption, vessel claims, terminal claims, production losses, reputational harm, third-party claims, or loss of use.

Any liability of Techno Group arising from or related to any Product, Service, shipment, project, installation, transloading operation, or transportation coordination shall be limited exclusively to the value of the specific affected Product, shipment, service, or container directly giving rise to the claim, and shall not exceed the amount actually paid by Customer for the specific affected Product or Service.

Under no circumstances shall liability extend to unrelated shipments, unrelated containers, unrelated invoices, or unrelated projects.

E3. INDEMNIFICATION

Customer agrees to indemnify, defend, and hold harmless Techno Group and its officers, directors, employees, contractors, affiliates, representatives, and agents from and against any claims, damages, liabilities, penalties, losses, fines, expenses, or costs arising from:

Customer operations, cargo issues, improper use, transportation activities, regulatory violations, environmental incidents, third-party claims, customer negligence, inaccurate cargo information, or violation of these Terms.

E4. GOVERNING LAW AND VENUE

These Terms shall be governed exclusively by the laws of the State of Florida.

Any dispute arising from these Terms or related business activities shall be brought exclusively in Broward County, Florida.

Customer consents to the exclusive jurisdiction of Florida courts.

E5. SEVERABILITY

If any provision of these Terms is found unenforceable, all remaining provisions shall remain fully enforceable.

E6. ENTIRE AGREEMENT

These Terms constitute the complete agreement between the parties and supersede all prior communications, representations, or agreements unless expressly modified in writing by Techno Group.

E7. ACKNOWLEDGEMENT

By purchasing, accepting delivery of, using, installing, transporting, loading, unloading, heating, discharging, operating, or paying for any Product or Service, Customer acknowledges and agrees to these Terms in their entirety.
